ForestSync Registry — Terms of Service

ForestWatch AS, trading as ForestSync (Org. No. 934 513 797)

Effective date: 1 May 2026

Document version: 2026-05-01

1. About These Terms

These Terms of Service ("Terms") govern your access to and use of the ForestSync carbon credit registry platform, including registry.forestsync.com, admin.forestsync.com, and any associated APIs (collectively, the "Registry").

The Registry is operated by ForestWatch AS (Org. No. 934 513 797), trading as ForestSync, a company incorporated in Norway ("ForestSync", "we", "us", "our").

By accessing the Registry or submitting a project for verification, you agree to be bound by these Terms. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

These Terms govern Registry services only. Trading of carbon credits on the Carbonomex marketplace is governed by the separate Carbonomex Terms of Service.

2. Eligibility

The Registry is accessible to the public for viewing. Project submission and portal access require:

  • Registration of a legal entity (company, organisation, or recognised legal body)
  • The individual creating the account must be an authorised representative of that entity, aged 18 or over
  • Individuals registering in a personal capacity (not representing an organisation) are not eligible for Project Developer access

We reserve the right to verify organisational status at any time and to reject or suspend accounts that do not meet eligibility criteria.

3. Account Registration and Responsibilities

3.1 You must provide accurate, complete, and current information during registration and keep it updated.

3.2 You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at [email protected] if you suspect unauthorised access to your account.

3.3 You are responsible for all activity that occurs under your account, whether or not you authorised it, to the extent permitted by applicable law.

3.4 Each individual should use their own login credentials. Shared account access is not permitted.

4. Project Developer Obligations

If you register as a Project Developer and submit a carbon offset project for verification, you agree to:

4.1 Accuracy: All information submitted (project boundaries, carbon sequestration methodology, biomass estimates, MRV data, supporting documents) is accurate, complete, and not materially misleading.

4.2 Document Authenticity: All documents submitted are authentic, unaltered, and rightfully owned or licensed by your organisation. Submission of forged, plagiarised, or fraudulently obtained documentation will result in immediate account termination, removal of any issued credits, and referral to relevant authorities.

4.3 Ongoing Reporting: You commit to providing updated MRV data and project status reports as required by the applicable verification methodology (Verra VCS, Gold Standard, ART/TREES, Puro.earth, or other accepted standard). Failure to provide timely updates may result in suspension of your project listing.

4.4 Notification of Material Changes: You must notify ForestSync within 30 days of any material change to the project, including but not limited to changes in ownership, land rights, significant deforestation events, fire, or changes to the project boundaries.

4.5 Right of Re-inspection: ForestSync and its designated verification partners reserve the right to audit project data, request additional documentation, and conduct independent verification at any time. You agree to cooperate with such audits.

4.6 No Double-counting: You warrant that the carbon credits submitted for issuance have not been, and will not be, issued, sold, or retired under any other carbon registry, certification scheme, or government programme. Double-counting is a fraudulent act and will result in immediate credit cancellation and legal action.

5. Credit Issuance and the Registry Record

5.1 What the Registry Records: The ForestSync Registry is a transparency and ledger system. A credit listed in the Registry represents a record of a verified carbon removal or reduction event associated with a specific project, vintage year, and methodology.

5.2 Not a Financial Instrument: Carbon credits recorded in the ForestSync Registry are not securities, financial instruments, investment products, or derivatives as defined under MiFID II or any applicable financial regulation. Registry records are informational and operational, not financial advice. ForestSync does not advise on the suitability of any credit for any purpose, financial or otherwise.

5.3 Serial Numbers: Each issued credit is assigned a unique serial number. Serial numbers are permanent, publicly accessible, and form part of the immutable ledger record.

5.4 Methodology Compliance: Credits are issued based on the methodology declared at time of submission. ForestSync verifies compliance with the stated methodology; it does not independently validate the underlying science beyond the verification process.

5.5 Reversal: In exceptional circumstances (fraud, verified reversal event, double-counting discovery), ForestSync may mark credits as `REVERSED` in the registry. ForestSync will notify affected parties of any reversal and the reason for it. A reversal does not, by itself, trigger a financial remedy — any remedy must be sought via the Carbonomex dispute resolution process or through competent courts.

6. Intellectual Property

6.1 ForestSync IP: The Registry platform, software, data models, user interface designs, algorithms, documentation, and the ForestSync and Carbonomex brand identities are owned by ForestWatch AS (trading as ForestSync and Carbonomex). Nothing in these Terms transfers any IP rights to you.

6.2 Your Content: You retain ownership of project data, documents, and information you submit. By submitting content, you grant ForestSync a worldwide, non-exclusive, royalty-free licence to use, store, display, and publish that content as part of the public registry, including displaying it on registry.forestsync.com, in public APIs, and in publications related to the platform's public mission.

6.3 Public Ledger: Transaction records, serial numbers, and retirement certificates form part of the public ledger. This data is irrevocably published in the interest of carbon market transparency. You acknowledge and accept this before submitting a project or initiating a retirement.

7. Prohibited Use

You must not:

  • Attempt to gain unauthorised access to any part of the Registry or its infrastructure
  • Submit false, misleading, or fraudulent project data or documents
  • Use the Registry for money laundering, tax evasion, or any other unlawful purpose
  • Scrape, harvest, or systematically extract data from the Registry without a written data access agreement
  • Reverse engineer, decompile, or disassemble any part of the platform software
  • Use the Registry in any way that violates applicable law, including data protection law

8. Disclaimers and Limitation of Liability

8.1 Registry as Record, Not Guarantee: ForestSync operates a verification and ledger system. Listing a project or issuing credits on the ForestSync Registry does not guarantee the permanence of the underlying carbon sequestration, the quality of the credits, or their acceptance by any corporate buyer, government programme, regulatory body, or offset standard.

8.2 No Financial Advice: Nothing on the Registry constitutes financial, investment, legal, or tax advice. You should obtain independent professional advice before making any business or financial decisions based on Registry data.

8.3 Service Availability: We aim for high availability but do not guarantee uninterrupted access. Planned maintenance, infrastructure events, or force majeure events may affect availability. We will endeavour to provide advance notice of planned outages.

8.4 Limitation of Liability: To the maximum extent permitted by applicable law, ForestSync's aggregate liability to you for all claims arising from or related to the Registry (whether in contract, tort, or otherwise) shall not exceed the greater of: (a) the fees paid by you to ForestSync in the 12 months preceding the claim, or (b) €500. ForestSync is not liable for any indirect, consequential, incidental, or punitive damages, or for loss of profit, data, or business opportunity.

8.5 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

9. Termination

9.1 By you: You may close your account at any time by contacting [email protected]. Closure does not erase ledger records or public data associated with issued or retired credits.

9.2 By us: We may suspend or terminate your account immediately if you: breach these Terms; submit fraudulent or materially false information; engage in conduct harmful to the platform or other users; or if required by applicable law. We will notify you of termination except where disclosure is legally prohibited.

9.3 Effect of termination: Upon termination, your access to the portal is revoked. Obligations that survive termination include: indemnification obligations, IP licence grants (for submitted public content), and dispute resolution provisions.

10. Governing Law and Dispute Resolution

10.1 These Terms are governed by the laws of Norway, without regard to its conflict of laws principles.

10.2 Any dispute arising from or relating to these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days from written notice of the dispute.

10.3 If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Oslo, Norway.

10.4 Notwithstanding the above, ForestSync reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

11. General

11.1 Entire Agreement: These Terms, together with the Privacy Policy and any project-specific verification agreements, constitute the entire agreement between you and ForestSync regarding the Registry.

11.2 Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

11.3 No Waiver: Failure to enforce any provision of these Terms is not a waiver of the right to enforce it later.

11.4 Updates: We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.

11.5 Language: These Terms are provided in English. In the event of a conflict between translated versions and the English version, the English version prevails.
